Four Agencies, One Checklist
Pennsylvania doesn't have one front door for new businesses. The registrations you need are spread across several offices, each with its own online system and its own account number:

Missing one of these doesn't always cause trouble right away, which is why it's easy to skip. The problems show up later: a vendor refuses to work with you without a sales tax license, a notice arrives about unfiled withholding returns, or a township sends a bill for back license fees. Forming or Registering Your Entity
The Department of State filings depend on what you're creating:
- New Pennsylvania LLC. File a Certificate of Organization. A written operating agreement isn't filed with the state, but you should have one, and your attorney can draft it.
- New Pennsylvania corporation. File Articles of Incorporation. Pennsylvania has also traditionally required new corporations to publish notice in newspapers, so we confirm the current rule during setup.
- Existing New Jersey, New York or Delaware company expanding into Pennsylvania. File a foreign registration statement so your company can legally operate in the state.
- Trade name. A business using a name other than its legal name usually needs a fictitious name registration.
Pennsylvania has also introduced an annual report requirement for most business entities. It's a recurring filing that's easy to miss, so it goes on your calendar from day one.

Tax Accounts in myPATH
Most state tax registrations happen online through the Department of Revenue's myPATH system. Depending on your activities, you may need:
- A sales, use and hotel occupancy tax license if you sell taxable goods or services. The license is renewed periodically, so we track its expiration date.
- An employer withholding account for state income tax withheld from employee paychecks.
- Other tax accounts tied to specific industries, which we identify during the consultation.

Local Registrations People Forget
Local requirements are where Pennsylvania differs most from New Jersey:
- Many townships and boroughs require a business privilege or mercantile license, and some tax gross receipts.
- Employers register with the local earned income tax collector for their work location and withhold local EIT and the Local Services Tax where they apply.
- Businesses operating in Philadelphia generally need a Commercial Activity License and city tax accounts before they open.
- Zoning approval, certificates of occupancy and health or fire inspections are handled locally, so they vary by municipality.

Ready for Employees
Before your first Pennsylvania payroll, you'll need the employer withholding account, an unemployment compensation account, workers' compensation coverage, local EIT and LST setup, and a process for reporting new hires. If your employees live in New Jersey, they'll also need the right exemption form under the reciprocal agreement between the two states, so Pennsylvania income tax isn't withheld in error.
